Ing. Tomáš Plachý, Company ID (IČO) 06437541, with registered office at Lidická 709/55, Veveří, 602 00 Brno. Natural person registered in the Trade Licensing Register, registering authority: Brno City Municipality (Magistrát města Brna). (hereinafter the “Provider”) issues these general terms and conditions (hereinafter the “Terms and Conditions”).
1. Introductory provisions
1.1 In accordance with Section 1751(1) of Act No. 89/2012 Coll., the Civil Code (občanský zákoník) (hereinafter the “Civil Code”), these Terms and Conditions govern the mutual rights and obligations of the Provider and the customer (hereinafter the “User”) arising in connection with the provision of the SimpleCRM cloud service (hereinafter the “Service”) through the web application available at simplecrm.cz.
1.2 The contract for the provision of the Service (hereinafter the “Contract”) is concluded at a distance in accordance with Section 2389a et seq. of the Civil Code as a contract for the provision of a digital service.
1.3 These Terms and Conditions govern relationships between businesses. The Service is intended for businesses (entrepreneurs) within the meaning of Section 420 of the Civil Code for their business activities and is not offered to consumers within the meaning of Section 419 of the Civil Code; the User confirms this when creating the organization under Section 3.1 of these Terms and Conditions.
2. Definitions
- Service — the SimpleCRM cloud application for managing relationships with customers and business opportunities, provided as software as a service (SaaS).
- User Account — the administrator account and the User Licenses within the tariff.
- User License (seat) — the authorization of one individual (natural person) user to access the Service.
- Plan / Tariff — a paid variant of the Service according to the Price List.
- Billing Period — a monthly or annual period, as chosen by the User.
3. Conclusion of the contract and registration
3.1 The User registers at simplecrm.cz by entering a name, contact e-mail and password, or by signing in with a Google account, and then creating an organization. When creating the organization, by proceeding to the next step the User confirms that they use the Service in the course of their business activity or independent exercise of a profession and that they have read and agree to these Terms and Conditions, the Complaints Procedure, the Delivery and Payment Terms and the Data Processing Agreement; this confirmation is displayed directly next to the button for proceeding. The User provides billing details, including the Company ID (IČO), no later than when choosing a paid Plan.
3.2 The Contract is concluded at the moment the organization is created following the confirmation under Section 3.1. The Provider records the date and time of the confirmation, the user who made it and the version of the confirmed documents; the record is available to the User in the administration under Settings → Privacy. The wording of the Terms and Conditions in effect at the moment the Contract is concluded is published at simplecrm.cz/obchodni-podminky.
3.3 The Contract is concluded for an indefinite period, with the possibility of termination under Section 9.
4. Trial period (free trial)
4.1 The User is entitled to use the Service free of charge on a trial basis for 30 days from the creation of the account, without having to enter a payment card.
4.2 No payment is charged automatically after the trial period ends. To continue using the Service, the User chooses a Plan and pays the price in the manner under Section 5.2. An invoice issued before the end of the trial period is a request for payment; unless it is paid, we charge the User nothing.
4a. Withdrawal from a Contract concluded by a consumer
4a.1 If, notwithstanding Section 1.3, the User is in the position of a consumer, they may withdraw from the Contract within 14 days of the day of its conclusion, even without giving a reason, by any unambiguous statement sent to podpora@simplecrm.cz. The Provider sends a model withdrawal form by e-mail on request.
4a.2 If a consumer withdraws under Section 4a.1, the Provider refunds the price paid within 14 days of the day the withdrawal is delivered, using the same method by which it received the payment.
5. Price and payment terms
5.1 The price for the Service is set by the Price List published at simplecrm.cz and is stated in Czech koruna (CZK) per user per calendar month. For the annual Billing Period, the price for twelve months is paid in a single payment in advance, in the amount set by the Price List. The Provider is not registered for VAT.
5.2 The price is paid in advance at the start of each Billing Period, via the Comgate payment gateway or by bank transfer according to the details on the issued invoice. We issue the invoice to the User electronically and send it to the contact e-mail.
5.3 If the User opts for automatic renewal of the subscription (see Section 6), the terms for recurring payments apply.
5.4 The Provider is entitled to change the price of the Service to the extent prompted by a change in legislation, a change in the prices of infrastructure and payment subcontractors, or an extension of the scope of the Service's features. The Provider notifies the User of the change by e-mail at least 30 days before it takes effect. The User is entitled to reject the change and terminate the Contract as of the day the new price takes effect; until then, the original price applies.
6. Automatic renewal of the subscription (recurring payments)
6.1 The User may choose the automatic subscription renewal mode, under which payments are regularly charged to their payment card via the recurring payments feature of the Comgate payment gateway (Card-on-File).
6.2 Before activating automatic renewal, the User expressly confirms that they agree that:
- an amount corresponding to their Plan and the number of User Licenses will be charged regularly to their card,
- the frequency of the charges corresponds to the chosen Billing Period (monthly or annually),
- the recurring payments will continue until the User cancels them,
- they will receive an invoice by e-mail for each payment charged,
- they will be informed in advance by e-mail of any change in the amount charged or in the frequency that they have not caused themselves by changing the Plan or the number of User Licenses.
6.3 The User may cancel automatic renewal at any time:
- in their account administration (the “Subscription” tab),
- by e-mail to podpora@simplecrm.cz, no later than 1 business day before the next payment is charged.
6.4 Canceling the recurring payments does not automatically terminate the Contract — the Contract continues until the end of the paid Billing Period; once that period expires, the account is suspended unless the User pays by another means.
6.5 If a payment from the stored card cannot be made, the Provider retries the charge; the payment status is visible to the User in the administration under Settings → Subscription. Access to the Service is retained for a further 7 days after the day on which the payment was to be made; the account is then suspended until payment is made.
6.6 For an annual Billing Period, the Provider emails the User the amount and date of the charge approximately 7 days before charging the stored card.
7. Rights and obligations of the user
7.1 The User undertakes:
- to protect their login credentials against misuse,
- to use the Service in accordance with legislation and good morals,
- not to interfere with the Service and not to perform reverse engineering,
- not to infringe the Provider's copyright.
7.2 The User is responsible for the content they upload to the Service (in particular the personal data of their customers and contacts).
8. Rights and obligations of the provider, availability of the Service
8.1 The Provider strives to keep the Service available at all times. Significant unavailability means that the Service is unavailable for more than 8 consecutive hours or for more than 24 hours in total in a calendar month; planned outages announced at least 48 hours in advance, unavailability caused by force majeure and causes on the User's side are not counted. Significant unavailability is a defect of the Service that may be claimed under Section 10 and the Complaints Procedure.
8.2 The Provider is entitled to temporarily suspend the Service for reasons of maintenance, technical failure, force majeure or third-party intervention, for the time strictly necessary to remove the cause.
8.3 The Provider ensures the availability of updates to the Service that are necessary to maintain its functionality.
8.4 The Provider is entitled to change the features of the Service. If a change restricts a feature that the User uses, the Provider announces it by e-mail at least 30 days in advance, and the User is entitled to terminate the Contract for this reason as of the day the change takes effect; in such a case, the Provider refunds, within 14 days, the pro rata portion of the price paid for the unused part of the current Billing Period.
9. Termination of the contract
9.1 The User may terminate the Contract at any time without giving a reason by canceling the subscription in the administration (Settings → Subscription) or by e-mail to podpora@simplecrm.cz. The termination takes effect at the end of the current Billing Period; until then, the Service remains available, and the price paid for the current Billing Period is not refunded.
9.2 The Provider may terminate the Contract with a 30-day notice period, or withdraw from it in the event of a material breach of the Contract by the User. If the Provider terminates the Contract, it refunds to the User the pro rata portion of the price paid for the unused part of the Billing Period within 14 days of the end of the notice period.
10. Liability for defects, complaints and compensation for damage
10.1 A defect of the Service means significant unavailability under Section 8.1, loss of data caused by the Provider's fault, or long-term non-functionality of an essential feature.
10.2 The User submits a complaint in writing to podpora@simplecrm.cz; the Provider settles it within 30 days.
10.3 Rights arising from defective performance: repair, a price reduction, or withdrawal from the Contract in the event of a material breach.
10.4 If the User is a business (entrepreneur), the total compensation for damage payable by the Provider to the User is limited to an amount corresponding to the price of the Service paid by the User for the 12 months preceding the occurrence of the damage; to that extent, neither lost profit nor consequential and indirect damage is compensated. The limitation under the first sentence also applies to claims arising from several separate events within the same Billing Period. The limitation does not apply to harm caused intentionally or through gross negligence, to harm to a person's natural rights or to harm caused to the weaker party; in these cases, damage is compensated to the extent provided by law.
10.5 The detailed procedure for complaints, refunds and cancellation of the Service is governed by the separate Complaints Procedure; the conditions for making the Service available and the payment methods are governed by the Delivery and Payment Terms.
11. Personal data protection
11.1 In providing the Service, the Provider processes the personal data of the User's employees and contact persons as a controller — details are set out in the Privacy Policy.
11.2 If the User uploads personal data of third parties (their customers, contacts) to the Service, the Provider acts as a processor under Art. 28 GDPR. The relationship is governed by the separate Data Processing Agreement (DPA), which forms Annex No. 1 to these Terms and Conditions.
12. Copyright and license
12.1 The Service and its components are a copyright work of the Provider. The User obtains a non-exclusive license, limited in time (for the duration of the Contract), to use the Service solely for the purposes of their business.
12.2 The User is not entitled to copy the Service, provide it further to third parties, make it available in the form of a public offering or use it to train AI systems.
13. Final provisions
13.1 These Terms and Conditions and the Contract are governed by the laws of the Czech Republic. The general courts of the Czech Republic have jurisdiction to resolve disputes.
13.2 The Provider is entitled to change these Terms and Conditions to the extent prompted by a change in legislation or case law, a change in the scope of the Service's features, a change in payment methods and a change of subcontractors. The Provider informs the User of the change by e-mail at least 30 days before it takes effect. The User is entitled to reject the change and terminate the Contract for this reason as of the day the change takes effect.
13.3 These Terms and Conditions take effect on 10 May 2026.
13.4 If, notwithstanding Section 1.3, the User is in the position of a consumer, the Czech Trade Inspection Authority (ČOI), web address www.coi.cz, is the competent body for out-of-court resolution of disputes arising from the Contract.
